1. Definitions
"Platform" means Modest Creator Hub, operated by Ayara Modest Wear t/a Modest Creator Hub, company number 16538800, Unit 5, Maidenhead Enterprise Centre, Maidenhead, SL6 7BE. "Creator" means you. "Brand" means a business that books Creators through the Platform. "Campaign" means a booking agreed between a Brand and a Creator. "Content" means any material produced under a Campaign.
2. Platform purpose
The Platform connects modest lifestyle Creators with Brands, handles messaging, agreements, payments and payouts. We are an intermediary and are not a party to the creative relationship between you and a Brand beyond the terms set out here.
3. Independent contractor status
You are an independent contractor. Nothing in this agreement creates employment, partnership, agency or a joint venture. You control how and when you produce Content, subject to Campaign deadlines you accept.
4. Eligibility
You must be at least 18 years old, legally able to contract in your country of residence, and entitled to receive payment for freelance services.
5. Creator obligations
You will provide accurate information, respond to Brands in reasonable time, deliver accepted Campaigns on schedule, and behave professionally in all Platform communication.
6. Creator profile requirements
Your profile must reflect you truthfully, use imagery you own rights to, and describe your real content styles, languages, rates and availability.
7. Campaign acceptance
A Campaign becomes binding when both parties accept it electronically on the Platform. Deliverables, deadlines, fees, revisions and usage rights are those stated in the Campaign Agreement.
8. Content creation standards
Content must be original, lawful, of the technical quality described in the brief, and free from third-party material you are not licensed to use.
9. Creator boundaries
You may set and publish boundaries (for example: no face on camera, no music, no fragrance or alcohol categories, no revealing clothing). Brands must respect published boundaries and you may decline any Campaign that conflicts with them without penalty.
10. Fees
Your fee is the amount agreed in the Campaign Agreement, calculated from your hourly rate and agreed hours unless stated otherwise.
11. Platform commission
The Platform deducts a commission from the Creator fee, shown before you accept any Campaign. The standard commission is 12%. Founding Creators pay 10%.
12. Stripe payouts
Payments are processed by Stripe. You must complete any identity and payout information Stripe requires before funds can be released.
13. Payment timing
Brand funds are collected at acceptance. Your payout is released after the Brand approval window closes or the Brand approves the deliverables, whichever is earlier.
14. Revisions
You will provide the number of revision rounds stated in the Campaign Agreement. Further revisions may be charged as a new Campaign.
15. Cancellation
Either party may cancel before work begins for a full refund. After work begins, a fair proportion of the fee is payable for work completed. Repeated late cancellation may result in suspension.
16. Intellectual property
You retain authorship of your Content. On full payment you grant the Brand the licence described in the Campaign Agreement.
17. Raw footage
Raw footage is supplied only where the Campaign Agreement says so, in the format and within the timeframe stated.
18. Usage rights
Usage rights are limited to the media, territory and duration stated in the Campaign Agreement. Any additional use requires a new agreement and additional fee.
19. Paid advertising rights
Paid advertising, whitelisting and Spark Ads rights apply only when expressly granted in the Campaign Agreement, for the duration stated.
20. Image and likeness
Your image, voice and likeness may only be used within the granted usage rights. It may not be used to imply endorsement beyond the Campaign.
21. AI cloning restrictions
No party may use your voice, face or likeness to train, generate or synthesise AI models or AI content without your separate written consent.
22. Advertising disclosures
You must comply with the UK CAP Code and ASA guidance, including clear #ad or Paid partnership disclosure on any posted Content.
23. Confidentiality
Campaign briefs, unreleased products and Brand business information are confidential and must not be shared or posted before launch.
24. Tax responsibilities
You are responsible for your own income tax, National Insurance, VAT and any equivalent obligations in your country.
25. Account suspension
We may suspend or close accounts for fraud, harassment, repeated non-delivery, circumvention of the Platform, or breach of this agreement.
26. Platform rules
Do not take agreed work off-platform, share contact details to avoid fees, submit false analytics, or use another person''s content.
27. Liability
To the maximum extent permitted by law, our liability to you is limited to the Platform commission received on the Campaign giving rise to the claim. Nothing limits liability for death, personal injury or fraud.
28. Data protection
We process your personal data as described in our Privacy Notice and in line with UK GDPR. You act as an independent controller for personal data you collect yourself.
29. Governing law
This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
30. Electronic signature
By ticking the acceptance boxes and continuing, you agree to be bound by this agreement. Your acceptance is recorded with a timestamp, IP address, device information and a cryptographic hash of this version, and has the same effect as a handwritten signature.
